Contracts

Business and international contracts lawyer in Brazil

I draft, review and negotiate contracts so every party knows exactly what it signed up for — in English, Portuguese or side by side in both.

A clear contract is the cheapest dispute you’ll never have. I work with companies and individuals on new agreements, on reviewing drafts sent by the other side, and through the negotiation itself. My focus is on what will actually happen once the deal is running, not just on how the document reads at signing.

Much of my practice involves foreign parties: bilingual Portuguese/English contracts, choice of governing law, and forum or arbitration clauses under Brazil’s Arbitration Act (Lei 9.307/1996). I completed a Contract Law course from Harvard and hold a specialization in advisory legal practice, and both shape how I structure each agreement.

FAQ

Common questions

Should my contract with a Brazilian party be bilingual?

Often it helps, because each side can read the terms in its own language. What matters most is a clause stating which version prevails if the two differ. We can look at whether this format suits your deal in a consultation.

What do governing law and forum clauses do?

They determine which country’s law applies and where disputes will be decided, whether in court or through arbitration. In cross-border deals, these choices affect cost, timing and how easily a decision can be enforced.

Can you review only part of a contract?

Yes, a focused review of liability, penalties or termination is possible. I still read the whole document, since one clause can change the meaning of another. Feel free to book a call so we can agree on the scope.
